Prime Focus Limited announced significant changes in its leadership during a Board of Directors meeting held on November 12, 2025. The company approved the appointment of Ms. Shalini Govil Pai as an Additional Non-Executive Independent Director, effective immediately for a term of five years, pending approval from shareholders. Simultaneously, the resignation of Mr. Merzin Darayus Tavaria as a Non-Executive Director was acknowledged, attributed solely to other professional commitments. The meeting also saw the resignation of Mr. Nishant Avinash Fadia from his role as Chief Financial Officer (CFO) and Key Managerial Personnel.
In a move to fill the leadership gap, the Board appointed Mr. Vikas Rathee as the new CFO, effective November 13, 2025. This decision comes on the heels of a challenging financial period, as reflected in the company’s unaudited financial results for the second quarter and half-year ending September 30, 2025. The results showed a loss before exceptional items and tax amounting to ₹204.75 lakh, with total income of ₹116,753 lakh, indicating a complex financial landscape that the new leadership will need to navigate.
The company also plans to keep its stakeholders informed, as the unaudited financial results will be published in newspapers and made available on its official website. The Board expressed gratitude for the contributions of both Mr. Tavaria and Mr. Fadia during their tenure. With these leadership transitions, Prime Focus Limited aims to address the challenges it faces and improve its financial performance as it moves forward into the next fiscal period.
